董事法律責任制度研究.pdf

1、在現(xiàn)代公司中，公司所有權和經營權的分離是不爭的事實，而這種分離的狀態(tài)對公司的行為產生了直接影響，即帶來公司的所有者和經營者所代表的兩種權利、兩種利益之間的競爭。而在這種個人利益和公司利益存在沖突的情況下，經營者可能為追求自身利益的最大化而偏離或犧牲公司的利益。董事作為公司經營者的重要組成部分，處于公司治理的核心地位，公司董事?lián)碛泄镜慕洜I決策權和業(yè)務執(zhí)行權。但是在現(xiàn)代公司制度的發(fā)展進程中，董事和董事會的權利呈現(xiàn)不斷擴張的趨勢，在我國目前

2、的公司運作過程中，以董事為首的公司經營者實施的違法違規(guī)行為屢見不鮮。但公司或投資者往往由于缺乏相應的法律規(guī)定和有效的責任追究機制而放棄追究董事的責任，使得公司董事的義務和責任的規(guī)范和強化成為事關公司運營質量的關鍵問題之一，作者試圖在借鑒國外關于董事法律義務和責任相關規(guī)定的基礎上，結合我國立法和公司制度發(fā)展的現(xiàn)狀，對我國公司董事法律責任制度的構建做出探討。 全文共分為三個部分。第一部分，分析了建立公司董事法律責任制度的原因及意義，

3、并探討了董事承擔的法律責任的性質及董事法律責任制度建立的目標追求。 第二部分，對董事法律責任制度建立的具體問題進行了分析。筆者在對董事與公司之問的法律關系、董事所承擔的忠實義務和注意義務及董事承擔法律責任的形式進行分析的基礎上，探討了我國目前關于董事義務和法律責任規(guī)定的不足，提出了強化董事法律責任需要解決的問題及具體的完善。 第三部分，探討了董事法律責任追究中涉及到的幾個具體問題。主要包括董事法律責任的追究主體、董事法律

4、責任追究的歸責原則、董事減免責任以及降低正常經營風險的事由以及董事民事法律責任規(guī)定的強化。通過這些問題的探討，以確保董事法律責任制度的有關規(guī)定在實踐中得到真正的落實。 作者試圖在公司董事法律責任的制度化方面有所突破，對公司董事法律責任制度化過程中需要解決的問題和采取的措施等方面提出自己的建議，以期促進我國公司董事法律責任制度構建的進程，改善公司董事法律責任制度不齊備的現(xiàn)狀。 Inpresentcorporate,itis
